ข้อตกลงการเป็น Supplier และเงื่อนไขการให้บริการ

ระหว่าง

บริษัท สยามวิไล ดิเวลลอปเม้นท์ จำกัด (ซึ่งต่อไปนี้เรียกว่า "บริษัท")

[ชื่อบริษัทผู้ให้บริการ] (ซึ่งต่อไปนี้เรียกว่า "ผู้ให้บริการ")

ข้อ 1: วัตถุประสงค์
1.1 ผู้ให้บริการตกลงเป็น Supplier ให้กับบริษัทในการให้บริการแก่ฐานลูกค้าของบริษัทตามเงื่อนไขที่กำหนด
1.2 บริษัทจะให้สิทธิ์ผู้ให้บริการในการดำเนินงานภายใต้ชื่อของบริษัท หรือในฐานะตัวแทนที่ได้รับการแต่งตั้ง (ถ้ามี)

ข้อ 2: ระยะเวลาสัญญา
2.1 สัญญานี้มีผลตั้งแต่วันที่ [ระบุวันที่] และมีอายุถึงวันที่ [ระบุวันที่] หรือจนกว่าฝ่ายใดฝ่ายหนึ่งจะแจ้งยกเลิกตามเงื่อนไขที่กำหนด
2.2 หากต้องการยกเลิกสัญญา ต้องแจ้งเป็นลายลักษณ์อักษรล่วงหน้าไม่น้อยกว่า [ระบุระยะเวลา] วัน

ข้อ 3: ขอบเขตการให้บริการ
3.1 ผู้ให้บริการมีหน้าที่ให้บริการแก่ฐานลูกค้าของบริษัทในด้าน [ระบุประเภทของบริการ]
3.2 ผู้ให้บริการตกลงรับผิดชอบการดูแลและสนับสนุนลูกค้าตลอดช่วงระยะเวลาของสัญญา

ข้อ 4: ค่าตอบแทนและค่าคอมมิชชั่น
4.1 บริษัทตกลงชำระค่าตอบแทนแก่ผู้ให้บริการตามข้อตกลงที่กำหนดในเอกสารแนบท้าย
4.2 ผู้ให้บริการตกลงจ่ายค่าคอมมิชชั่นหรือค่าแนะนำให้แก่บริษัทในอัตรา [ระบุ % หรือจำนวนเงิน] ของรายได้ที่เกิดจากฐานลูกค้าของบริษัท
4.3 การชำระค่าคอมมิชชั่นจะดำเนินการภายใน [ระบุระยะเวลาการชำระ] นับจากวันที่ได้รับชำระเงินจากลูกค้า

ข้อ 5: การบริหารความเสี่ยงและข้อกำหนดทั่วไป
5.1 ผู้ให้บริการตกลงให้บริการโดยปฏิบัติตามกฎหมายและข้อกำหนดที่เกี่ยวข้อง
5.2 หากมีข้อพิพาทเกิดขึ้น ทั้งสองฝ่ายตกลงที่จะแก้ไขโดยการเจรจาเป็นลายลักษณ์อักษร และหากไม่สามารถตกลงกันได้ ให้ใช้กระบวนการทางกฎหมายตามที่กำหนด
Supplier Agreement and Service Terms

Between

Siamvilai Development Co., Ltd. (hereinafter referred to as "the Company")

[Supplier's Company Name] (hereinafter referred to as "the Supplier")

Clause 1: Purpose
1.1 The Supplier agrees to be a Supplier for the Company in providing services to the Company's customer base under the specified conditions.
1.2 The Company grants the Supplier the right to operate under the Company's name or as an appointed representative (if applicable).

Clause 2: Contract Duration
2.1 This contract is effective from [Specify Date] and remains in effect until [Specify Date] or until either party terminates it as per the specified conditions.
2.2 To terminate the contract, written notice must be provided at least [Specify Duration] days in advance.

Clause 3: Scope of Services
3.1 The Supplier is responsible for providing services to the Company's customer base in the field of [Specify Service Type].
3.2 The Supplier agrees to take responsibility for customer support and service throughout the contract period.
3.3 The Supplier must perform services in accordance with the quality standards set by the Company.

Clause 4: Compensation and Commission
4.1 The Company agrees to pay the Supplier as stipulated in the attached agreement.
4.2 The Supplier agrees to pay a commission or referral fee to the Company at a rate of [Specify % or Amount] of revenue generated from the Company's customer base.

Clause 5: Risk Management and General Provisions
